Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Finlumio platform and its digital services (collectively, the "Services") provided by Finlumio LLC ("Finlumio," "we," "us," or "our"), a Florida limited liability company. By accessing or using the Services, you agree to be bound by these Terms.

2. Who May Use the Services

The Services are available to accounting firms, their clients, and authorized users under an account issued through the Services. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3. Acceptable Use

You agree not to:

• Access data belonging to a client group you are not authorized to view;
• Attempt to probe, scan, or test the vulnerability of the Services or circumvent any security or authentication measure;
• Upload documents you do not have the right to share, or content containing malicious code;
• Use the Services to violate any applicable law or regulation; or
• Resell, sublicense, or provide access to the Services to any third party without our written consent.

4. Your Account and Data

The Services display financial data associated with your business, including data synced from QuickBooks Online and Financial Cents, and documents you or your accountant upload. You represent that you have the right to provide this data and these documents to us for the purpose of the Services.

We use the following third-party service providers to deliver the Services:

• Supabase — application hosting, database, authentication, and document storage;
• QuickBooks Online — source of accounting and financial data synced into the Services;
• Financial Cents — source of job and workflow data synced into the Services.

Data synced from QuickBooks Online is used solely to power the dashboards, reports, and advisory services described in these Terms. We do not export, sell, or share your QuickBooks data with any third party outside of delivering the Services.

5. Not a Substitute for Professional Advice

The Services are a reporting and data-visualization tool. They are not themselves a licensed financial, investment, legal, or tax advisor, and nothing displayed within the Services constitutes financial, investment, legal, or tax advice. Any advice you receive is provided directly by the human accountants and advisors at Green Tax, through separate engagement, and not generated by the software itself.

6. Disclaimer of Warranties; Limitation of Liability

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Services will be uninterrupted, error-free, or that data synced from third-party sources will always be accurate or current. To the maximum extent permitted by law, Finlumio will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.

7. Termination

We may suspend or terminate your access to the Services at any time, including for suspected violation of these Terms. You may request termination of your account by contacting us. Termination of the Services does not affect any separate engagement for accounting, tax, or advisory services.

8. Governing Law

These Terms are governed by the laws of Florida, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Florida.

9. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Services or by other reasonable means before taking effect.
